Terms of service
The rules for working with us, in plain English.
- Last updated: October 29, 2026
- Applies to velosyd.com and our services
1. Who we are and what this covers
These terms govern your use of velosyd.com (the "Site") and the services we provide: custom software development, AI agents, integrations and maintenance (the "Services"). "Velosyd", "we" and "us" mean Velosyd LLC, a [STATE, to confirm] limited liability company in the United States. "You" means the person or business using the Site or the Services.
Project work is always governed by a written proposal or statement of work signed by both sides (the "Proposal"). If a Proposal and these terms say different things, the Proposal wins for that project.
2. Proposals, scope and price
Every project starts with a written Proposal that sets out the scope, the deliverables, the deadline and the price. The price in a Proposal is fixed for the scope it describes. Work outside that scope is quoted separately, with its own price and deadline, and only starts after you approve it in writing. The original price does not move.
Smaller projects are paid half to start and half on delivery. Larger projects are paid in the milestones listed in the Proposal. Maintenance plans are billed monthly and can be cancelled any month. Invoices are due within [NUMBER] days. Late payments may suspend work and accrue interest at [RATE] per month or the maximum allowed by law, whichever is lower.
3. What we need from you
- Timely access to the systems, accounts, data and people the project depends on.
- A named decision-maker who can approve scope, designs and deliverables.
- Feedback within the review windows set in the Proposal. If we do not hear back within [NUMBER] business days, the deliverable is considered accepted.
- Content, data and credentials you provide must be yours to share and must not infringe anyone else's rights.
4. Ownership and intellectual property
Everything we build for you under a Proposal is created in accounts, repositories and cloud environments in your name. Once the Proposal is paid in full, you own the deliverables: source code, designs, documentation and data, with no further licence fee.
We keep ownership of tools, libraries, templates and know-how we had before the project or that we develop for general use. Where a deliverable includes them, you receive a perpetual, worldwide, non-exclusive licence to use them as part of that deliverable. Open-source components keep their own licences.
Unless you tell us otherwise in writing, we may name you as a customer and describe the project in general terms, without disclosing confidential information.
5. AI agents and third-party services
AI agents we build use language models and services from third-party providers under their own terms. Model output can be wrong. Agents we deliver are tested against the scenarios agreed in the Proposal and hand off to a person in situations they are not meant to handle, but you remain responsible for how the agent is used in your business, for the instructions and data you give it, and for any legal requirements that apply to your industry (for example in healthcare, finance or employment). Every agent we build says it is an AI.
Fees charged by third parties (model providers, hosting, telephony, messaging platforms, software licences) are paid by you directly unless the Proposal says otherwise. Model usage is billed at cost.
6. Warranty and fixes
For 30 days after delivery we fix, at no charge, any defect that prevents a deliverable from working as described in the Proposal. After that, fixes and improvements are covered by a maintenance plan or quoted separately.
Beyond that, the Services and the Site are provided "as is". We do not promise specific business results, revenue, lead volumes or uptime unless a Proposal or maintenance agreement sets out a measurable commitment.
7. Limitation of liability
To the extent permitted by law, neither side is liable to the other for indirect, incidental, special or consequential damages, lost profits or lost data arising from the Services. Our total liability for any claim connected to a project is limited to the amount you paid us for that project in the 12 months before the claim. Nothing in these terms limits liability for fraud, wilful misconduct or anything that cannot be limited by law.
8. Confidentiality
Each side keeps the other's non-public information confidential, uses it only for the project and protects it with reasonable care. A non-disclosure agreement is standard in every Proposal. This survives for three years after the project ends, and indefinitely for trade secrets and personal data. Personal data is handled as described in our Privacy policy and, where required, a data processing agreement.
9. Ending a project
Either side can end a project with 15 days' written notice. You pay for work completed and milestones reached up to the end date, and we hand over everything built so far. We can suspend work if invoices are more than [NUMBER] days overdue or if we do not receive access or decisions needed to continue.
10. Use of the Site and the AI assistant
The Site and its content are for your information. You may not scrape it, copy it for commercial use, or try to interfere with its operation. The "Ask AI" assistant on the Site answers general questions about our Services. It is an AI, it does not give legal, financial or professional advice, and nothing it says is a binding offer. Conversations with it are stored as described in the Privacy policy.
11. Governing law and disputes
These terms are governed by the laws of the State of [STATE, to confirm], United States, without regard to conflict-of-law rules. Before starting any formal proceeding, both sides agree to try in good faith to resolve the matter by direct discussion for 30 days. Any dispute that remains is resolved in the courts of [COUNTY, STATE, to confirm], and both sides consent to their jurisdiction.
12. Changes and contact
We may update these terms from time to time. The date at the top shows the current version. Changes apply to new Proposals signed after that date. Questions go to [email protected] or [POSTAL ADDRESS, to confirm].
